Master Service Agreement

Effective Upon Booking

This Master Service Agreement (“Agreement”) is entered into by and between Carefree Offices, a Arizona business with offices at 36800 N Sidewinder Rd, Suite A-8, Carefree, AZ 85377 (“Carefree Offices”), and the client (“Client”).

1. SERVICES PROVIDED

Carefree Offices agrees to provide the Client with exclusive access to shared office space, one covered reserved parking space, high-speed internet, LTE internet backup, office amenities, and other related services (“Services”) as outlined publicly on our website (www.carefreeoffices.com) and in our House Rules.

2. TERM AND TERMINATION

This Agreement begins on the Date of Booking and continues until terminated by either party.
Either party may terminate this Agreement with 30 days’ written notice.
Carefree Offices may terminate immediately for breach, illegal activity, or policy violations.

3. CLIENT OBLIGATIONS

The Client agrees to:

Use the space and services only for lawful business purposes.
Abide by the rules and guidelines outlined in the Carefree Offices Master Service Agreement, Terms of Use, Internet Access Terms of Service, Privacy Policy and House Rules which may be updated from time to time.
Not damage or abuse the space, take property from the space or interfere with the use of the space by others.

4. PAYMENT TERMS

Fees will be posted publicly on our website (www.carefreeoffices.com) and are payable in advance.
Refunds will be issued back to the original method of payment. Please allow 2-14 days for refund to process. Merchant processing fees are non-refundable. A 3% fee will be withheld from all refunds to cover non-refundable credit card expenses.
Please contact us to resolve any payment issues. Payment disputes issued after use of the space will be subject to a theft of service complaint issued to local authorities.

5. USE OF PREMISES

Client shall not make alterations or install equipment without prior written consent.
Carefree Offices retains the right to relocate Clients within the premises with reasonable notice.

6. CONFIDENTIALITY

Both parties agree to maintain the confidentiality of all proprietary information obtained in connection with this Agreement, unless disclosure is required by law.

7. LIABILITY AND INSURANCE

Carefree Offices shall not be liable for any loss, theft, or damage of Client’s property.
Clients are responsible for maintaining insurance coverage for their own property and business operations.

8. INDEMNIFICATION

Client agrees to indemnify, defend, and hold harmless Carefree Offices, its owners, agents, and employees from any claims arising from the Client’s use of the Services.

9. LIMITATION OF LIABILITY

In no event shall Carefree Offices be liable for any indirect, incidental, or consequential damages. Total liability shall not exceed the amount paid by Client in the past 3 months.

10. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Arizona. Any disputes shall be resolved in the courts located in Maricopa County Arizona.

11. MISCELLANEOUS

This Agreement, together with Carefree Offices Internet Access Terms of Service and House Rules, is the entire agreement between the parties.
No amendment shall be valid unless in writing and signed by both parties.
If any provision is deemed unenforceable, the remainder of the Agreement shall remain in effect.
